TERMS OF SERVICE PROVISION ON A PRE-PROGRAMMED HOURS BASIS
When you read and agree to the terms and conditions for the provision of Services on a pre-programmed hourly basis, you are also automatically agreeing to the general conditions that apply to all services. If there are other extra rules specific to this service, they are also valid, as long as they are attached to this document and signed by both parties.
1. Commitment
1.1 - Conceitos Diferentes undertakes to work with you through an annual contract, paid monthly. Together, we will study strategies, identify specific audience needs, create communication materials, taking into account aspects such as usability, meaning, culture and sustainability.
1.2 - We will also help you define the project program, taking into account factors such as budget, deadlines, target audience and available resources.
2. Project Description
2.1 - We will provide a briefing model for each project. It must be filled out in as much detail as possible, as this information will be crucial to the success of the project.
2.2 - You are responsible for informing us of any specific legal requirements for the project, as we cannot guarantee compliance with all local laws.
3. Confidentiality
3.1 - We undertake not to share projects under development with third parties, in order to protect your commercial interests.
3.2 - We will not carry out projects similar to those under development if this would harm your interests.
3.3 - On the other hand, you will also not produce products similar to our projects, whether or not they have been completed without our written consent.
4. Fees
4.1 - Our annual fees, paid monthly, cover the preparation of sketches, models, research, meetings, travel and other expenses related to the project.
4.2 - Meetings outside our or your facilities and services not related to the project are not included.
4.3 - Fees must be paid by the penultimate business day of the month prior to the service being provided.
4.4 - We reserve the right to charge additional fees for work requested before the agreed schedule.
5. Subcontracting
5.1 - We can subcontract parts of the project if necessary.
5.2 - In the event of unsatisfactory results, our responsibility is strictly limited to our collaboration with third parties.
6. Copyright
6.1 The designer is, through Conceitos Diferentes, protected by copyright law for the product of his work.
6.2 - If you own the copyright to something, you are responsible for any resulting costs.
6.3 - The project can only be used as agreed.
6.4 - The designer is entitled to receive credit for the project.
6.5 - Under no circumstances may any draft work be used or published as final work, without the written approval of Conceitos Diferentes.
7. Reproduction
7.1 - We will guarantee the best possible quality in reproduction.
8. Approval of Evidence
8.1 - The project must be approved in writing before production begins.
8.2 - We are not responsible for changes made by third parties after approval.
8.3 - All tests must be submitted for control before production.
9. Responsibility
9.1 - If a force majeure situation occurs, both parties are released from their contractual obligations.
9.2 - You can terminate the contract at any time, but you are still responsible for paying for the work carried out to date, as well as other previously approved expenses or subcontracting.
9.3 The Customer may be responsible for reimbursing Conceitos Diferentes for losses of other income resulting from Conceitos Diferentes acceptance of the contract that has since been terminated.
10. Jurisdiction and Applicable Law
10.1 - Conceitos Diferentes reserves the right to change these terms, notifying all parties by email about the changes.
